IMPORTANT NOTICE: THIS AGREEMENT CONTAINS A BINDING ARBITRATION PROVISION AND CLASS ACTION WAIVER. IT AFFECTS YOUR LEGAL RIGHTS AS DETAILED IN THE ARBITRATION AND CLASS ACTION WAIVER SECTION BELOW. PLEASE READ CAREFULLY.

ACCEPTANCE OF THESE TERMS

This Terms of Use Agreement (“Terms”) governs your access to and use of the Hire-Sub.com platform (“Platform”) made available by HireSub, Inc. (“Hire-Sub,” “we,” “our,” or “us”). By using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.

We reserve the right to modify these Terms at any time without prior notice. Changes will be effective 30 days after posting on the Platform. Continued use of the Platform after such changes constitutes your consent to the new Terms.

MODIFICATIONS

Hire-Sub reserves the right to modify these Terms and any related documents at any time without prior notice. Changes will be posted on the Platform, and may also be communicated to you directly. Modifications will become effective 30 days after posting. Your continued use of the Platform after 30 days constitutes your acceptance of the changes.

ADDITIONAL TERMS AND POLICIES

Please review Hire-Sub’s Privacy Policy, which is incorporated herein by reference, for information on our collection and use of your information. The provision and delivery of text messages by Hire-Sub or our text message service providers is governed by our SMS Terms and Conditions. Certain areas or products on the Platform may have additional terms and conditions. In case of a conflict, those specific terms take precedence over these Terms.

KEY TERMS

“Collective Content”: User Content and Hire-Sub Content together.
“Content”: Text, graphics, images, music, software, audio, video, information, or other materials available on or through the Platform.
“User”: Any person or entity who uses the Platform, including those who submit or receive requests through Hire-Sub.
“User Content”: Content submitted, posted, uploaded, published, or transmitted by any User through the Platform.
“Hire-Sub Content”: All Content made available by Hire-Sub on the Platform, excluding User Content.
“Platform”: All Hire-Sub websites, mobile applications, software, and services provided by or through Hire-Sub.

ELIGIBILITY

Access to and use of the Platform is available only to individuals who are at least 18 years old and can form legally binding contracts under applicable law. By accessing or using the Platform, you represent and warrant that you meet these requirements.

ACCOUNT REGISTRATION AND OTHER SUBMISSIONS

To access certain features of the Platform, you will need to create an account. You agree to provide accurate and complete information during the registration process and to update such information as necessary. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify Hire-Sub immediately of any unauthorized use of your account.

YOUR LICENSE TO USE THE PLATFORM

Subject to your compliance with these Terms, Hire-Sub grants you a limited, non-exclusive, revocable license to access and use the Platform for your personal and non-commercial use. You agree not to use, copy, distribute, or create derivative works based upon the Platform or its Content without Hire-Sub’s express permission.

USER CONTENT

By making User Content available on the Platform, you grant Hire-Sub a worldwide, irrevocable, perpetual, non-exclusive, transferable, royalty-free license to use, modify, and distribute your User Content in connection with the Platform. You are solely responsible for your User Content and represent that you have all necessary rights to grant this license.

PROHIBITED USES

Users of the Platform may not:

Misrepresent themselves or the services they offer.
Use automated systems to access the Platform without permission.
Copy or misuse Platform information or Content.
Interfere with the proper functioning of the Platform.
Use the Platform in violation of any applicable laws or regulations.
Solicit personal information from other Users for unauthorized purposes.
Engage in fraudulent or illegal activities.

FEES AND TAXES

Hire-Sub may charge fees for certain services provided through the Platform. You agree to pay all applicable fees and charges, which are non-refundable unless otherwise stated. You are responsible for any taxes associated with your use of the Platform.

DISPUTES BETWEEN USERS

Hire-Sub encourages Users to resolve disputes independently. If a dispute cannot be resolved, you agree to participate in good faith in any mediation or arbitration conducted by Hire-Sub or a neutral third-party. Hire-Sub is not obligated to become involved in disputes between Users or third-parties.

INTELLECTUAL PROPERTY RIGHTS

Hire-Sub owns all rights to the Platform and its Content, protected by copyright, trademark, and other laws. Users may not use Hire-Sub’s intellectual property without permission.

FEEDBACK

By providing feedback to Hire-Sub, you grant us a non-exclusive, royalty-free, perpetual license to use and incorporate your feedback into the Platform without any obligation of confidentiality.

DISCLAIMER OF WARRANTIES

The Platform is provided “as is” without warranty of any kind. Hire-Sub disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Hire-Sub does not warrant that the Platform will be available, secure, or error-free.

LIMITATION OF LIABILITY

To the maximum extent permitted by law, Hire-Sub will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use of the Platform; (b) any unauthorized access to or use of our services; or (c) any content obtained from the Platform.

INDEMNIFICATION

You agree to indemnify and hold Hire-Sub harmless from any claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or in any way connected with your use of the Platform, your violation of these Terms, or your interaction with other Users.

GOVERNING LAW

These Terms and your use of the Platform will be governed by the laws of the state of Colorado, without regard to its conflict of law provisions. Any disputes not subject to arbitration will be resolved in the state or federal courts located in Weld County, Colorado.

ARBITRATION AND CLASS ACTION WAIVER

You and Hire-Sub agree to resolve all disputes through binding arbitration rather than in court. This includes claims related to these Terms, your use of the Platform, or your relationship with Hire-Sub. You waive your right to participate in class actions. You may opt out of arbitration within 30 days of first using the Platform.
